Terms of Service

These Terms of Service ("Terms") govern your access to and use of Skayle (the "Service"), which is owned and operated by Raze Growth LLC, a Wyoming limited liability company ("Raze Growth", "we", "us", "our").

By accessing or using the Service, you agree to these Terms.

1) Eligibility and authority

Skayle is intended for business use. You must be at least 18 years old and able to enter into a binding contract.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. In that case, "you" includes the organization.

2) Accounts

  • You must provide a valid email address and keep account information accurate.
  • You are responsible for all activity under your account.
  • You agree not to share access in a way that violates plan limits or applicable law.

3) Customer Content and ownership

"Customer Content" includes prompts, inputs, uploaded files, and other content you submit to the Service, plus generated outputs to the extent allowed by law.

  • You own your Customer Content.
  • You grant Raze Growth a limited, non-exclusive license to host, store, process, transmit, and display Customer Content solely to provide, maintain, secure, and improve the Service and to enforce these Terms.
  • No training on Customer Content: We do not use Customer Content to train models.

4) AI outputs and responsibility

The Service may generate outputs using AI systems. You understand and agree:

  • outputs may be inaccurate, incomplete, or unsuitable for your use;
  • you are responsible for reviewing outputs before publishing or relying on them;
  • the Service does not provide legal, financial, medical, or other professional advice.

5) Acceptable use

You agree not to:

  • use the Service for unlawful activities;
  • upload or generate content that infringes intellectual property or violates rights of others;
  • attempt to reverse engineer the Service, bypass security, or interfere with operation;
  • misuse the Service in a way that violates third-party provider policies.

We may suspend or terminate accounts that violate these Terms.

6) Subscriptions and billing

  • Some features require a paid subscription.
  • Payments are processed by Stripe, and subscription management may involve Autumn.
  • Fees are generally non-refundable except where required by law or explicitly stated.
  • We may change plans and pricing with notice, typically effective on your next billing cycle.

7) Third-party services

The Service relies on third-party providers (e.g., hosting, database, workflow tools, AI inference). We are not responsible for third-party services outside our control.

8) Termination and deletion

  • You may stop using the Service at any time.
  • You can delete your organization/workspace via the in-app Delete Organization option (when available) or by contacting support.
  • We may suspend or terminate access for violations, non-payment, security concerns, or legal requirements.

9) Intellectual property

We and our licensors own the Service and its underlying technology, excluding Customer Content. You may not copy, modify, distribute, or create derivative works of the Service except as permitted by law or with our written permission.

10) Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

(Some jurisdictions do not allow certain limitations.)

12) Indemnification

You agree to indemnify and hold harmless Raze Growth from claims arising out of:

  • your Customer Content,
  • your use of the Service, or
  • your violation of these Terms or applicable law.

13) Changes

We may update the Service and these Terms. If changes are material, we'll provide reasonable notice (e.g., via the app or email). Continued use means you accept the updated Terms.

14) Governing law and venue

These Terms are governed by the laws of the State of Wyoming, excluding conflict of laws principles. Any dispute must be brought in state or federal courts located in Wyoming, unless otherwise required by law.
